Resilience Foundation Deploys $65M to Cover Re

Re has undertaken its second major deployment of onchain capital into the reinsurance market.

$65M New investment note
$100M Initial investment, April
$165M Total deployed through the two notes

The Resilience Foundation, operator of Re Protocol, executed a new $65 million investment note with Cover Re SPC Ltd. Cover Re is a licensed, Cayman Islands-based reinsurer.

The transaction follows an initial $100 million investment in April, bringing the total deployed to Cover Re through the two notes to $165 million.

Capital Flow

From onchain capital to offchain reinsurance

The capital deployed in the note was sourced from onchain deposits. When users mint reUSD or reUSDe, they contribute to the capital pool. The value of the capital pool also increases as each token’s net asset value (NAV) increases.

Re periodically deploys a portion of that capital offchain to Cover Re, which converts it from stablecoins to US dollars. Cover Re uses the capital to support new reinsurance contracts.

All of Cover Re's reinsurance contracts are fully collateralized; this means that it posts assets to fully back its contractual obligations, providing financial security to the ceding insurers. The collateral is held in segregated trust accounts.

Payments on the investment notes, sourced from Cover Re's reinsurance activities, flow back onchain and support yield for holders.

Cover Re

What this means for Cover Re

For Cover Re, the infusion of capital increases underwriting capacity: it allows the reinsurer to add new business and expand its portfolio.

In September, the company added three new reinsurance treaties covering specialty auto, professional lines for startups, and large excess casualty. Those treaties brought Cover Re's total bound premium since inception to more than $515 million; this figure represents the cumulative premiums associated with Cover Re's reinsurance contracts.

Holders

What it means for holders

For holders of reUSD and reUSDe, offchain deployment of capital is a key part of the cycle that supports yield. Yield, in turn, incrementally increases token NAV.

reUSD and reUSDe each earn a protocol-determined spread (2.5% for the former and 8.5% for the latter, as of October 2026). Offchain reUSD and reUSDe also earn a base rate tied to SOFR, a benchmark for overnight borrowing backed by US Treasuries. Cover Re's reinsurance operations fund both components of that yield. (Onchain reUSD’s base rate is the 7-day trailing average sUSDe yield instead.)

In the Re App

What to look for

Visitors to the Re App will notice a substantial decrease in onchain capital and an increase in offchain capital. This reflects capital transferred offchain to fund the note.

reUSDe is intended to be deployed offchain almost in its entirety for use as collateral (a small portion remains onchain to fund future redemption windows). At the time of any offchain deployment, at least 50% of reUSD’s all-time peak deposit level remains onchain to fund instant redemptions; the rest may be deployed offchain as collateral.
